Terms of Use and Sale
The Hebrew version prevails in case of discrepancy.
These terms apply to buying a subscription to the Vitruvius plugin for Revit and to using it, on vitruviusecosystem.com and in your account. Next to each clause that comes from a statute we name the section, so you can check it yourself.
Who we are
The seller is VITRUVIUS ECOSYSTEM, an Israeli business that develops and sells the Vitruvius plugin. For anything, including a cancellation notice: contact@vitruviusecosystem.com. The business’s full details are sent in the disclosure document with the purchase confirmation. The document lists the seller’s full name, business number and address, together with the product, the price, the subscription period and how to cancel. It arrives by e-mail, at the address you gave when you bought.
Who these terms apply to, and who is a consumer
Vitruvius is a professional tool for architects and architecture offices. Under section 1 of the Consumer Protection Law, a “consumer” buys a service mainly for personal, household or family use. The subscription is a business subscription, and most buyers buy for professional use. If you in fact bought for personal use, every right that law gives a consumer applies to you as well. The cancellation and refund terms below apply to every buyer in the same way.
The service is for businesses and professionals aged 18 or over.
What you buy, what it costs and how you pay
You buy an annual subscription to the Vitruvius plugin, on the Solo plan (one user) or the Team plan (several users in one office). Both plans include every capability. The price of each plan is shown on the pricing page and at checkout, VAT included. Our warranty for the plugin is under “Liability, changes and law”. You pay a year in advance by credit card through an Israeli payment processor; we never store your card details. The plugin is available for download at once, and the subscription is active as soon as the payment is approved. The licence belongs to the plan bought: one user on Solo, the number of seats bought on Team; it may not be passed on or shared beyond that. The offer’s terms are valid for as long as they appear on the pricing page (section 14C(a)(2)–(7) of the Consumer Protection Law).
The disclosure document you receive after buying
Right after the purchase we e-mail you a tax invoice/receipt and a disclosure document in Hebrew. It contains our details, the manufacturer (the business itself) and the country of manufacture (Israel), a description of the subscription, the price paid, the start and end dates, how to cancel and the refund terms, the plugin’s warranty, and these terms. This is the document section 14C(b) of the Consumer Protection Law requires, and it reaches you no later than the download or the licence activation. Note: the 14 days in which you may cancel run from the purchase or from receiving this document, whichever is later.
Right to cancel within 14 days
You may cancel the purchase within 14 days of the purchase or of receiving the disclosure document, whichever is later. The right holds even if you have already installed the plugin and started using it, because the subscription is a continuing transaction (section 14C(c)(2) of the Consumer Protection Law). The exception in section 14C(d)(3) for “information” as defined in the Computers Law, 5755-1995 does not apply here: that definition expressly says “except software”.
Refund and cancellation fee
If you cancel within those 14 days, we refund what you paid within 14 days of receiving your notice, less the two amounts the law allows: a pro-rata amount for the days the subscription was active (section 14E(b1)), and a cancellation fee of 5% of the price paid or ILS 100, whichever is lower (section 14E(b)(1)). If you cancel because of a defect in the plugin, a mismatch with the description or a breach on our part, there is no cancellation fee at all (section 14E(a)). The refund goes to the card you paid with. After the 14 days there is no statutory right to cancel the paid year, except in the case described under “People with disabilities, senior citizens and new immigrants”. What you can cancel is the renewal: the subscription keeps working until the end of the paid period, with no refund for the rest of it, and does not renew. When a refund is made the licence is revoked; using the plugin after a refund, for example on a machine that stayed offline, breaches these terms.
Extra seats on the Team plan: if the Team subscription is cancelled and refunded, the extra seats you bought separately are not cancelled with it. If there are fewer than five such seats, each of them becomes a Solo subscription of the user who holds it. If there are five or more such seats, they become a new Team subscription of the office, whose period ends on the earliest date on which one of the five seats with the longest periods ends. For the days paid beyond that date, and for the difference between the price of five Solo subscriptions and the price of a Team subscription, we refund the office the pro-rata amount, including VAT, to the same payment method. These subscriptions renew automatically by charging the payment method of whoever paid for them, and whoever paid for them may cancel the renewal in the account area.
How to cancel
You can cancel in two ways that are equally valid:
- One-click cancellation: in your account on the site, with the “Cancel subscription” button. It is the fastest way and works at any hour.
- By e-mail to contact@vitruviusecosystem.com.
The “Cancel a purchase” link at the bottom of every page of the site, the home page included, leads to the cancellation page, where both ways are set out.
A notice by e-mail should state the subscriber’s name and ID number (section 14I(c)). Cancelling from your account does not need them, because you are already signed in.
We must let you cancel the same way you bought, that is, online too (section 14I(a) of the Consumer Protection Law). A dedicated, prominent link on the home page is required by section 14I(b). Next to it we list the cancellation methods and our contact details (section 14I(e)(2)), and they also appear on every invoice and in the renewal reminder (section 14I(d)–(f)).
Ending the subscription within 3 business days
A cancellation, of the purchase or of the renewal, takes effect within 3 business days of the day we receive the notice, and from then on we charge nothing more. This is what section 13D(c) of the Consumer Protection Law sets for a cancelled continuing transaction. Anything that is not a cancellation, we answer within up to 3 business days.
The subscription as a continuing transaction
The subscription is a continuing transaction for one year. Section 13C of the Consumer Protection Law therefore requires us to show you together, with special emphasis, its duration and end date, the amount you will pay, your right to cancel and what cancelling costs. You will find all of these in the disclosure document (section 13C(d) allows them to be included there), and in your account at any time.
Renewal and reminder
Business subscription, renews automatically. The subscription renews by automatic renewal: at the end of each year it renews for another year, on the same payment method, at the price shown on the pricing page at that time, unless you cancel the renewal before the renewal date. The renewal date is the anniversary of your purchase and appears in your account and in the disclosure document. A seat added to a Team plan mid-year is bought for a full year and renews on the anniversary of its own purchase. Before payment, checkout prominently shows the statement “Business subscription, renews automatically”, with the price, the renewal date and how to cancel.
30-day reminder before the renewal: we e-mail you no later than 30 days before the renewal date, inside the “notice period” set by section 13A(a) of the Consumer Protection Law (between 60 and 30 days before the end date). The e-mail states the renewal date, next year’s price and every way to cancel. The renewal date is also shown prominently on every invoice you receive in the three months before it (section 13A(b)(2)). We do not collect a mobile number; if we start, we will also send a text message 21 days before the end date (section 13A(b)(3)). We keep the wording of the statement shown to you at checkout and the purchase date.
Statement of charges
Every charge comes with a tax invoice/receipt sent by e-mail. In addition, if the law requires us to send you once a year a statement of all charges in the continuing transaction (section 13B(b1) of the Consumer Protection Law), it is sent in March: the first to the address you gave, later ones by e-mail only if you explicitly agreed. All invoices can also be downloaded from your account at any time, without contacting us and at no extra cost.
People with disabilities, senior citizens and new immigrants
If the purchase included a conversation with us, by phone or chat, and you are a person with a disability, a senior citizen or a new immigrant, you may cancel within four months of the purchase or of receiving the disclosure document, whichever is later, and not only within 14 days (section 14C1(c) of the Consumer Protection Law). In that case we may ask for a certificate proving it, and no further proof (section 14C1(d)). A self-service purchase on the site, without a conversation, is not covered by this extension.
Liability, changes and law
We undertake that the plugin does what the site describes, and we will fix faults you report within a reasonable time. We are not liable for damage caused by use against the instructions, or by files you changed without a backup; we recommend keeping a copy of the project before each run. The plugin is an aid: professional responsibility for the drawing set and the submission stays with the architect. If you connected your own AI model to the Vitru layer, its answers are those of the provider you chose; your keys, accounts and charges with that provider are your responsibility, and our role is only to pass the request on. The plugin works with the Revit versions listed on the site; we will announce in advance any change Autodesk makes in a future version, as far as we know of it. A change of price or terms applies only from the next renewal, and only after we announced it in the reminder. Israeli law applies. Nothing in these terms limits your right to go to court, and the limits of liability in this section do not apply where the law forbids limiting liability, for example damage caused by our negligence (sections 3–4 of the Standard Contracts Law, 5743-1982).
